License: annual seats; HTTPS activation (key + machine id only)
Offline grace: 14 days after last successful check

1. Receive license key (TOA-XXXX-...)
2. Each lawyer (or IT):
   a. Download TOA_Local.bas
   b. Word → Alt+F11 → Import File… → TOA_Local.bas
   c. Run RunTOA_Local; enter license key when prompted
3. Optional: import into a firm .dotm and deploy via login script
